Acquisition of WiMAX 4G Solutions Provider Beceem Communications Completed by Broadcom Corporation

Acquisition of Beceem Communications (News - Alert), Inc., has been completed by Broadcom Corporation. An announcement in this regard has been by the top global company in semiconductors for wired and wireless communications, Broadcom Corporation. System-on-a-chip (SoC) solutions for LTE (News - Alert) and WiMAX 4G connectivity are developed by the privately-held company, Beceem Communications, Inc.

Approximately $316 million have been paid by Broadcom (News - Alert) in connection with the acquisition. All of the outstanding shares of capital stock and other equity rights of Beceem have been acquired by assumedly paying the net money in cash.

Except for the portion attributable to unvested employee stock options, the purchase price was paid in cash. Stock options exercisable for shares of Broadcom's common stock attribute to the unvested employee stock options. An independent third-party has been selected to pay a portion of the cash consideration, which is payable to the stockholders.

According to Broadcom, the acquisition of Beceem is expected to be neutral to earnings in 2011. Any purchase accounting related adjustments and fair value measurements are however excluded.

More than 7,800 additional patent applications of Broadcom are currently in the pending state. Broadcom has one of the broadest intellectual property portfolios. Both wired and wireless transmission of voice, video, data and multimedia are addressed by these portfolios.
